Experience

Nantita Wangmingmat began her legal internship in the second half of 2022 at ONE Law Office. She officially joined the firm as an associate in early 2023 and has been a part of the team ever since. Over her two years at ONE Law Office, she has provided legal advice and developed expertise in areas including corporate registration, company secretarial duties, transactions, and business restructuring, as well as legal due diligence for IPO preparation.

She also has specialized knowledge in family business matters, encompassing the establishment of holding companies, the planning and execution of share transfer transactions among family members, inheritance and gift tax laws, and the assessment of associated tax risks. Furthermore, she is an active member of the team responsible for drafting Family Charters, focusing specifically on legal and tax matters relevant to the creation and implementation of such charters.

Family Business Restructuring
Assisted the team in advising clients on various family business restructuring projects, including:
•    Establish family holding companies and prepare essential corporate documents such as Articles of Association, share certificates, and shareholder registers.
•    Structuring and reorganizing shareholdings, including facilitating share transfers between family members in alignment with the mutual objectives of family members. This involved drafting legal documentation to reflect and support these objectives, such as shareholder agreements and share transfer instruments.

Initial Public Offering (IPO)
Assist partner in advising businesses on IPO preparation and implementation, including pre-IPO restructuring, legal due diligence, compliance for IPO purposes, corporate transformations, and company secretarial services. Recent clients include:
