Profile

Prior to joining ONE Law Office Limited in 2019, Suwinai was an associate in tax practice group at a leading Thai international law firm, and a legal officer at the Thai governmental authority. He has over 15 years of experience in client service roles in both local and international settings.

At present, his day-to-day practice focuses on assisting both domestic and international clients from a multitude of industries with regard to direct tax, indirect tax, international tax matters, legal and tax matters in relation to merger and acquisition, family business, commercial contract, IPO preparation, business restructuring as well as handling related work.

Led teams in advising clients on legal and tax consideration on business restructuring for business efficiency, tax optimization for both onshore and offshore structure as well as for the preparation of the initial public offering (Pre-IPO restructuring). Key representations include:
•    Advised a prominent Thai listed company carrying on business in relation to beverage and diary product manufacturing on its business restructuring plan for the group companies both in Thailand and foreign countries.
•    Advised a Thai private company in the consumption product sector on its business restructuring plan for business efficiency and for the preparation of the initial public offering.
•    Advised various Thai real estate operators both listed companies and private companies regarding the real estate project planning for tax optimization.
•    Advised a prominent Thai company carrying on palm oil and logistic business for the business restructuring and holding company structure for the preparation of the initial public offering.
•    Advised a prominent Thai group companies in color painting business regarding the merger of the group companies for business efficiency.
•    Advised a Thai private company in transportation sector in relation to business restructuring plan for the preparation of the initial public offering.


Mergers & Acquisitions (M&A) and Joint Ventures (JV)
Led teams in advising clients on a range of M&A and joint venture projects, encompassing legal and tax planning, negotiation of commercial terms, due diligence, contract drafting, and execution of closing and post-closing activities. Key representations include:
•    Advised on tax planning and represented owners of Thai private company in industrial machinery and artificial intelligence system sector in the sale of shares and joint venture transaction with a prominent listed company in Thailand.
•    Advised on tax planning and represented owners of Thai private company in digital advertisement sector in the sale of shares and joint venture transaction with a prominent listed company in Thailand.
•    Represented a leading Thai oil and retail business operator (listed on the Stock Exchange of Thailand) in legal due diligence and negotiation of share sale and purchase agreement for the acquisition of shares in a prominent Thai private company in food and beverage sector.
•    Advised on tax planning and represented owners of Thai private company in laboratory testing sector in the sale of shares transaction with a foreign company.
•    Advised on tax planning and represented owners of Thai private company in bakery sector in the sale of shares transaction with a foreign private equity fund for tax optimization.
